Terms of Service
Last updated: October 2026
1. Agreement to Terms
By accessing or using our services, you agree to be bound by these Terms of Service and all applicable laws and regulations. Any project-specific commercial terms are set out in your written agreement. Nothing in these terms or a project agreement excludes rights or liability that cannot lawfully be excluded.
2. Services Description
Devron is the trading brand of Precision Intelligence Ltd. We provide AI and automation, web and mobile development, integrations, cloud and related software services. We reserve the right to modify or discontinue services with or without notice.
3. Intellectual Property Rights
Unless otherwise agreed in writing, all deliverables, code, and materials created by Devron remain the intellectual property of the client upon full payment. We retain the right to showcase completed work in our portfolio.
4. Payment Terms
Payment terms are agreed after consultation and vary from product to product. Any deposit, payment schedule, invoice due dates and late-payment charges are set out in the relevant project or service agreement.
5. Refunds & Cancellation
Project Cancellation: You can request cancellation in writing at info@devron.co.uk. Subject to your statutory rights, charges are limited to work properly completed under the agreed scope and reasonable, non-recoverable costs already committed for your project. We will provide a breakdown, take reasonable steps to minimise those costs and avoid double charging.
Deposits & Advance Payments: Payments already made are credited against the amounts due on cancellation, and any unused balance is refunded. If no work has been performed and no such project costs have been incurred, advance payments are refunded in full. A deposit is not automatically forfeited simply because work has started.
Problems with Delivered Work: For defects covered by Section 12, or where applicable law requires a remedy, please contact us so we can investigate and correct the affected work at no additional charge within a reasonable time. Where correction is impossible or is not completed within a reasonable time, an appropriate price reduction or refund for the affected work will apply in accordance with the project agreement and applicable law.
Your Rights: This policy does not limit statutory rights, including any applicable consumer cancellation rights or remedies for faulty services or digital content. These rights take priority over contractual cancellation charges. Refunds will be made within any applicable legal deadline.
6. Project Timelines
While we strive to meet all deadlines, timelines are estimates and may vary based on project complexity, client feedback turnaround, and scope changes. Force majeure events may affect delivery schedules without penalty to Devron.
7. Client Responsibilities
Clients agree to provide necessary materials, feedback, and approvals in a timely manner. Delays in client response may affect project timelines and costs. Client is responsible for:
- Providing accurate project requirements and specifications
- Timely feedback and approvals (within 5 business days unless otherwise agreed)
- Access to necessary systems, accounts, and third-party services
- Compliance with applicable laws and regulations in their industry
8. Scope Changes
Changes to the original project scope must be agreed upon in writing and may result in additional charges and timeline adjustments. We will provide estimates for any scope changes before proceeding with additional work.
9. Confidentiality
Both parties agree to keep confidential any proprietary information received during the course of the business relationship. This includes but not limited to business processes, technical specifications, user data, and strategic information.
10. Data Protection & Security
We implement appropriate security measures to protect client data. Clients are responsible for ensuring they have proper rights to share any data with us and for compliance with applicable data protection laws (GDPR, CCPA, etc.).
11. Limitation of Liability
Devron's liability for any claim related to our services shall not exceed the total amount paid by the client for the specific project in question. We shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or business opportunities.
12. Warranty & Support
Defect Warranty: Unless a different period is agreed in writing during consultation, bespoke software includes a 30-calendar-day warranty from your written acceptance of the delivered work. Report any reproducible failure to meet the agreed specification during that period, and we will correct defects in our work at no additional charge within a reasonable time. Covered defects reported during the warranty period remain covered until resolved.
Scope: The warranty does not cover new features, changed requirements, or problems caused by unauthorised modifications, misuse, or subsequent third-party changes or outages outside the agreed scope. These exclusions apply only where the issue was not caused by a defect in our work.
Ongoing Support: Hosting, routine maintenance, updates and support beyond the warranty are agreed separately. Product subscriptions or licences may have their own support terms, supplied before purchase. This warranty is additional to your statutory rights and does not limit them.
13. Third-Party Services
Our projects may integrate with third-party services, APIs, or platforms. We are not responsible for the availability, functionality, or terms of service of third-party providers. Clients are responsible for maintaining their own accounts and licenses for third-party services.
14. Termination
Either party may terminate the service agreement with 14 days written notice, unless the project agreement provides otherwise or applicable law permits earlier termination. Payments and refunds on termination are calculated under Section 5. Termination does not affect accrued rights, statutory remedies or obligations that continue under the agreement.
15. Indemnification
Client agrees to indemnify and hold harmless Devron from any claims, damages, or costs arising from: (a) Client's use of delivered services or products, (b) Client's violation of these terms, (c) Client's violation of any rights of a third party, or (d) any content or data provided by Client.
16. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or government actions.
17. Governing Law & Disputes
These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall first be addressed through good faith negotiations. If unresolved, disputes will be settled through binding arbitration.
18. Severability
If any provision of these terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.
19. Changes to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated to active clients. Continued use of our services after modification constitutes acceptance of updated terms.
